Checklist for Licensing of Ford Motor Company Diagnostic Data


The following items must be completed in order to secure a Ford Data Stream License:

The items indicated with (RE) are to be verified by an authorized representative of the Requesting Entity and the items indicated with (IC) are to be verified by an authorized representative of the Insurance Company (IC).

License Agreement signed by a properly authorized officer of Requesting Entity. (RE)

Insurance Policy, certificate, or binder accompanies signed License Agreement. (RE)

Insurance Company is rated “A-, VI“ or better by A.M. Best (IC) http://www.ambest.com/

Insurance policy is paid-up for at least one year from Effective Date of License Agreement. (IC)

Insurance policy names FORD as additional insured. (IC)

Insurance policy of LICENSEE is primary and not excess to or contributory with any insurance or self-insurance of FORD.

Insurance policy(ies) covers general liability, professional liability, auto liability, and product liability. (IC)

Insurance policy(ies) has limits of not less than $3 million combined single limit. (IC)

Insurance policy provides coverage that extends to any claim that may be made against FORD by LICENSEE, any of LICENSEE’s employees, customers, or any other person or entity having a business connection to LICENSEE and any of its customers due to FORD granting License Rights under the License Agreement. (IC)

Insurance policy provides coverage for any claim against FORD for any liability or indemnity assumed by LICENSEE under the License Agreement. (IC)

Insurance policy provides coverage for a period that extends over the useful life of
LICENSEE’s products sold during the License Term that contain or reference Licensed Data. (IC)
Insurance policy provides coverage for at least the following events:

Injury/Death of LICENSEE’s employee(s) or others during testing/validation of LICENSEE’s products or vehicles subject to diagnostics by LICENSEE’s Products or due to improper repair, use or destruction of any automotive component and/or de-initialization or alteration of vehicle safety controls, including but not limited to, braking systems and occupant restraint systems. (IC)

Injury/Death of by-standers in above situation (for example: testing while driving on the freeway and crashing into another vehicle/pedestrian, due to steering failure, brake failure, wheel flying off, etc.). (IC)

Injury/Death of serviced customer, vehicle occupants, and/or others due to improper diagnostics or repair in conjunction of using LICENSEE’s Products or improper use or destruction of any automotive component and/or de-initialization or alteration of vehicle safety controls, including but not limited to, braking systems and occupant restraint systems. (IC)

Injury/Death of technician servicing vehicle, due to improper use or destruction of any automotive component and/or de-initialization of safety controls. (IC)

Property damage, fire risk, etc. associated with any of the above events. (IC)
